CHARTER AGREEMENT OF GUNBARREL UNITED
This Charter Agreement ("Agreement") is made and entered into as of the date of execution by the undersigned charter members (collectively, the "Charter Members") for the purpose of forming and governing a community-based coalition known as “Gunbarrel United”.
ARTICLE I: NAME, PURPOSE, AND MISSION
Section 1. Name.
The name of this organization shall be Gunbarrel United.
Section 2. Purpose.
Gunbarrel United is established as a unifying coalition of residents, businesses, homeowner associations, neighborhood associations, and other organized community groups in the Gunbarrel area. While many active subgroups already exist within Gunbarrel, they currently operate independently and without coordinated representation. Gunbarrel United recognizes that the only effective way for Gunbarrel residents to have a consistent, credible, and influential voice in shaping the future of their unique community is by coming together as one organized body.
Through collaboration, shared resources, and collective advocacy, Gunbarrel United empowers member organizations to protect and enhance Gunbarrel’s quality of life, guide responsible development, and represent the community’s interests before government bodies and other stakeholders. Gunbarrel United serves as a structured platform for communication, strategy, and action on issues that affect the entire Gunbarrel community.
Section 3. Mission and Focal Points.
The mission of Gunbarrel United is to enhance the well-being of the Gunbarrel community through focused efforts on:
Betterment of Gunbarrel – Promoting continuous improvement in the community's infrastructure, aesthetics, sustainability, and quality of life, including protecting open space and adding more community spaces and parks.
Community Vitality and Social Events – Fostering a connected and engaged community through organized events and neighborhood-building activities.
Community Planning for Future Development – Providing input and leadership in planning decisions to guide smart, responsible growth.
Advocacy of Gunbarrel Interests – Representing Gunbarrel priorities before Boulder County, the City of Boulder, and relevant public bodies. Attend relevant meetings and report relevant information to the Board.
News and Current Event Postings – Informing residents about local news, developments, and opportunities for involvement.
Urgent Calls to Action – Coordinating rapid community responses to pressing or time-sensitive issues impacting Gunbarrel.
ARTICLE II: MEMBERSHIP
Section 1. Eligibility.
Membership in Gunbarrel United is open to residents, businesses and established and recognized homeowner associations and neighborhood associations within Gunbarrel.
Section 2. Charter Members.
Each organization or resident signing this Charter Agreement shall be deemed a Charter Member of Gunbarrel United and shall have all rights and responsibilities provided herein.
Section 3. Member Responsibilities.
A Charter Member Organization agrees to:
Designate at least one (1) representative to be a Charter Member.
Disseminate information from Gunbarrel United to its members.
Ask its members to sign up for email newsletters from Gunbarrel United.
All Charter Members agree to:
Participate in at least one of four (1/4) quarterly meetings per calendar year.
Act in good faith to further the mission and goals of Gunbarrel United.
Section 4. Termination of Membership.
A member may withdraw by giving thirty (30) days written notice to the Board. A member may be removed for failure to meet obligations under this Charter by a two-thirds (2/3) vote of the Board.
ARTICLE III: GOVERNANCE
Section 1. Board.
Gunbarrel United shall be governed by a Board of five (5) to nine (9) members.
Board members shall be chosen by submitting an application. A vote for Board members shall take place at the annual meeting. The applicants (securing the most votes or majority of votes) of all Charter Members present at the annual meeting shall be elected to the Board.
Each Board member shall have one (1) vote on matters before the Board.
Board members are expected to participate in regular Board meetings.
Section 2. Powers and Duties.
The governing body of Gunbarrel United, hereinafter referred to as the "Board," shall:
Establish and amend Gunbarrel United policies, procedures, and strategic goals.
Approve public positions, initiatives, and advocacy efforts on behalf of Gunbarrel United.
Elect four (4) Officers (see below) from amongst themselves.
Select leaders for priority focus areas from all Charter Members.
Oversee the general direction and sustainability of Gunbarrel United.
Section 3. Officers.
At its inaugural meeting, and thereafter annually or as needed, the Board shall elect Officers to serve Gunbarrel United, including:
President: Responsible for leading Gunbarrel United, facilitating meetings, and representing Gunbarrel United publicly.
Vice President: Assists the President and assumes duties in their absence.
Secretary: Maintains records, meeting minutes, and correspondence.
Treasurer: Manages the financial affairs of Gunbarrel United, including budgets and reporting.
Officers shall be elected by a majority vote of the Board and shall serve terms as determined by the Board’s bylaws or operating procedures.
Section 4. Focus Area Leaders.
To ensure strategic, organized, and efficient implementation of its mission, Gunbarrel United shall appoint a Focus Area Leader for each of its six (6) priority areas:
Betterment of Gunbarrel
Community Vitality and Social Events
Community Planning and Development Guidance
Advocacy Before Government Bodies
News and Information Sharing
Urgent Calls to Action
Focus Area Leaders shall chair committees to coordinate initiatives, engage stakeholders, and report progress to the Board. These roles may be filled by any Charter Members as appointed by the Board.
This structure is intended to maximize the positive impact of Gunbarrel United on the Gunbarrel community—both for its current residents and for the benefit of future generations.
Section 5. Meetings.
The Board shall meet at least four (4) times annually. Special meetings may be called by any three (3) Board members with at least seven (7) days' notice.
Section 6. Quorum and Voting.
A quorum shall consist of a majority of Board members. Unless otherwise specified, decisions shall be made by a simple majority vote of those present.
ARTICLE IV: ADMINISTRATION AND RECORDKEEPING
Section 1. Records.
Gunbarrel United shall maintain current records of member organizations, representatives, meeting minutes, communications, and shared contact lists.
Section 2. Communication.
Email shall serve as the official communication channel of Gunbarrel United unless the Board determines otherwise.
ARTICLE V: AMENDMENTS
This Charter may be amended by a two-thirds (2/3) vote of the Board, provided fourteen (14) days' notice of the proposed amendment has been given to all Board members.
ARTICLE VI: DISSOLUTION
Upon dissolution of Gunbarrel United, remaining records and assets shall be distributed back to the Charter Members or repurposed in alignment with the Alliance's mission, as determined by a majority vote of the Board.
